About:240-Hour Visa-Free Transit

We are flying into Shanghai from USA on the 22 and we fly to japan on the 27th before flying back

We fly back to the usa after japan. We have a confirmed d lo ight and seats to japan and a hotel in japan as well. So we qualify correct?

That qualifies, as long as you have mentioned all your stops. For example, your flight to Shanghai must not make any other stops, however brief, in mainland China or Japan. Also your passport must qualify, of course.
