No, your itinerary is not eligible for 240 or any other visa free transit scheme because it does not comply with the basic and the most important rule of 240 hour visa free transit. That rule clearly says that your immediate points before and after mainland China have to be in two different countries or eligible territories (eligible territories are Hong Kong, Taiwan and Macau). A you can see both of your immediate points are located in just one territory - Hong Kong. However, if you want, you can create an eligible itinerary with just a tiny effort. You can introduce a nearby Macau into equation. You can retain your US - Hong Kong and Hong Kong - US segment, but in order to make your itinerary eligible you will travel to Macau after you land in Hong Kong. From Macau take a flight to Shanghai and after your planned stay in Shanghai or some other part of mainland China you will fly to Hong Kong. As you can see, like this, your immediate points before and after mainland China will be located in two different eligible territories - Macau and Hong Kong and your itinerary becomes eligible for 240 hour visa free transit and you do not need any kind of visa. You can reverse this Macau segment and fly - US - Hong Kong - Shanghai - Macau - Hong Kong - US, as you wish. It is just important that you introduce Macau and it should not be that problematic.
