Cruise from HK to Shanghai then flight to Frankfurt

We're on a cruise that starts in Singapore on the 20th January 2019 which as part of the itinerary makes an overnight stay in Hong Kong prior to terminating in Shanghai. On arrival in Shanghai on 3rd February 2019 we have a 3 night Hotel stay before departing on the 6th February 2019 on Lufthansa flight departing at 13:50. Does this qualify for the 144 hr exemption.
