I am USA passport traveling from Seoul to HK.  I wish to visit Shanghai for three days flying from HK roundtrip.  Do I need a visa?

Ken, if you mean you will travel like Seoul-HK-Shanghai-HK, you cannot enjoy the 144 hour free transit in Shanghai; but if you travel like Seoul-HK-Shanghai-Seoul, you can enjoy the free transit in Shanghai then.
