Seattle - Tokyo (3days) - Shanghai (4 days) - Seattle 144 hrs?

I am scheduled to fly from the US to Tokyo and stay there for 3days, then contining on to Shanghai for 4 days and then back to the US, from what I understand, I think I qualify for the 144 hr visa exception, but I'd like to know for sure.
