What needs to be included in a "cover letter" for document authentication?

Hello,

Help! I have tried calling the Chinese Embassy nonstop for the past two days and have been getting a no-answer or a busy signal each time.

I am trying to authenticate my company's Articles of Incorporation with the Chinese Embassy in DC. I already have the documents notarized by the Secretary of State and authenticated by the US Department of State. I now need them to be authenticated by the Chinese Embassy in DC. The Chinese Embassy's website states that for corporate documents, a cover letter and a copy of the passport/driver's license of the company's legal representative must be submitted. First, do the Articles of Incorporation constitute "corporate documents" which require a cover letter? If so, what must be included in the cover letter? Does it have to be on the company's letterhead and signed by the legal representative? If the company is having an agent go to the Embassy to authenticate the documents, does the letter have to state that the company is authorizing the agent to do so on its behalf?

I plan to submit: 1) Authentication Application Form; 2) originals + photocopies of the documents; 3) cover letter [if applicable] + copy the passport/driver's license of the legal representative of the company; and 4) have Section 2 of the Application Form filled out (since we plan to have an agent go to the Embassy for us). Are there other documents the Embassy will require? We are traveling across the country specifically for authentication at the Embassy, so we need to make sure we have everything before flying out there.

Any help would be greatly appreciated!

Dear, as far as I know, the cover letter is required for the authentication of the company's Articles of Incorporation. The cover letter should state that the documents are real and simply explain the purpose of authentication. It should be on the company's letterhead and signed by the legal representative. If the company finds an agent to do it, a power of attorney should be provided to state that the company entrusts the agent to do so on its behalf.

The above-mentioned documents are okay, but if your application is submitted by an agent, you need to complete Section 2 on the application form and provide one copy of the agents' passport/driver license.

Thank you for this information! I have a follow-up question: If Mr. X is the legal representative but his does not appear on the Articles of Incorporation, do you know if I will need to submit a separate document showing the Mr. X's status as the company's legal representative? Or, will the cover letter that includes a statement that Mr. X is the legal representative be sufficient?

If a separate document is required to verify Mr. X's legal representative status, do you know if that separate document needs to be notarized/certified by the Secretary of State and/or authenticated by the U.S. Department of State before being submitted along with all of the other required authentication materials?

If Mr. X is the legal representative, you can make a statement inside the cover letter that Mr. X is the legal representative. I don’t think you need to provide a separate document to make it clear.
But if the embassy does require a separate document, it should be notarized.
