As far as I know, the first one is truly a kind of religion, while the latter to some extent is not.
They have different people to worship and different doctrines. Confucianism worship Confucius, while Taosim worship Laozi. Taoism prefer to get freedom, while those who believe in Confucianism want to be official in government.
