Layover definitely counts. In other words, the basic rule is only after immediate points before and after mainland China. In your case, immediate points, before and after mainland China, are located in two different countries / territories, Thailand and Hong Kong, making your itinerary eligible for 240 hour visa free transit. It is irrelevant whether you will travel your entire journey on a single or on several tickets as long as your itinerary has its immediate points in two different countries / eligible territories. Also, it is totally acceptable to fly or take a train or ferry from Guangzhou to Hong Kong, but this segment has to be covered by a ticket that you will buy ahead of your check-in in Bangkok. If your itinerary is on a single ticket (booking) fine, bit if it is not, please, remember to book all the segments within your itinerary in advance because you will be asked to present them in both Bangkok and upon landing in Guangzhou. Have a nice visit to China.
