I am traveling January 31st, 2012 from Chicago to Seoul intransit in Shanghai. Do I need an intransit visa to land in China? I am only changing planes from American airlines to Air China.

USA passport holders are permitted to transit Shanghai for up to 48 hours without a visa. Actually, you can even leave the airport to enter the city area.
